Affiliate Terms and Conditions
Welcome to the R-juven8.com Affiliate Program. These terms and conditions (the “Agreement”) govern the participation of affiliates (“Affiliates”) in the affiliate program offered by R-juven8.com (“R-juven8”, “we”, “us”, or “our”), a lifestyle e-commerce website domiciled in Lagos, Nigeria, owned by Luxe Elysia. By joining and participating in our Affiliate Program, you (“you” or “Affiliate”) agree to comply with the terms and conditions outlined in this Agreement.
1. Enrollment in the Affiliate Program
1.1 To enroll in the Affiliate Program, you must complete and submit the online application form. We will evaluate your application and notify you of your acceptance or rejection. We may reject your application at our sole discretion.
2. Affiliate Responsibilities
2.1 As an Affiliate, you agree to actively promote R-juven8 products and services through ethical and lawful means. You will use links, banners, or other promotional materials provided by R-juven8 to refer potential customers to our website.
2.2 You agree not to make any false, misleading, or unauthorized statements about R-juven8 or our products. Your promotional efforts should be honest and in line with our brand values.
2.3 You must not engage in any form of spam, unsolicited email, or other forms of unsolicited communication to promote R-juven8.
2.4 Affiliates must comply with all applicable laws, regulations, and guidelines, including but not limited to data protection laws, advertising standards, and consumer protection laws.
3. Commission and Payment
3.1 Affiliates will earn a commission based on the sales generated through their referral links. The commission structure will be outlined in the Affiliate Program section of our website and may be updated from time to time.
3.2 Commissions will be calculated based on the net sales amount, excluding shipping, taxes, discounts, returns, and chargebacks.
3.3 Payments will be made monthly, provided the Affiliate has reached the minimum payout threshold of 10,000 Naira. If the minimum payout threshold is not met, the commission will roll over to the next month.
3.4 Payments will be made via bank transfer, and the Affiliate is responsible for providing accurate payment details.
3.5 R-juven8 reserves the right to withhold or deduct commissions for any fraudulent, illegal, or unauthorized transactions.
4. Intellectual Property
4.1 R-juven8 grants the Affiliate a non-exclusive, non-transferable, revocable license to use our trademarks, logos, and promotional materials solely for the purpose of promoting our products and services.
4.2 Affiliates must not alter, modify, or misrepresent our trademarks, logos, or promotional materials in any way.
5. Confidentiality
5.1 Affiliates agree to keep all confidential information received from R-juven8 confidential and not to disclose it to any third party without our prior written consent. Confidential information includes, but is not limited to, business plans, financial information, customer lists, and marketing strategies.
6. Term and Termination
6.1 This Agreement will commence upon our acceptance of your application and will continue until terminated by either party.
6.2 Either party may terminate this Agreement at any time, with or without cause, by giving written notice to the other party.
6.3 Upon termination, the Affiliate must cease all promotional activities related to R-juven8 and remove all links, banners, and promotional materials from their website or other marketing channels.
7. Limitation of Liability
7.1 R-juven8 will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement, including but not limited to loss of revenue or profits, even if we have been advised of the possibility of such damages.
8. Indemnification
8.1 The Affiliate agrees to indemnify, defend, and hold harmless R-juven8, its officers, directors, employees, and agents from any claims, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising out of or related to the Affiliate’s participation in the Affiliate Program or breach of this Agreement.
9. Modifications to the Agreement
9.1 R-juven8 reserves the right to modify or update this Agreement at any time. We will notify Affiliates of any changes by posting the revised Agreement on our website or through email. Continued participation in the Affiliate Program after such changes constitutes acceptance of the revised Agreement.
10. Governing Law and Dispute Resolution
10.1 This Agreement will be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
10.2 Any disputes arising out of or in connection with this Agreement will be resolved through good faith negotiations between the parties. If the parties cannot resolve the dispute through negotiation, the dispute will be submitted to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act of Nigeria. The decision of the arbitrator(s) will be final and binding.
11. Miscellaneous
11.1 This Agreement constitutes the entire agreement between the parties regarding the Affiliate Program and supersedes all prior agreements and understandings, whether written or oral.
11.2 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
11.3 The Affiliate may not assign or transfer this Agreement or any of its rights or obligations without our prior written consent.
11.4 No waiver of any term or condition of this Agreement will be deemed a further or continuing waiver of such term or condition or any other term or condition.
By joining the R-juven8 Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
